1. Introduction
Welcome to the LayerZero Slashing Frontend(eigenzeroportal.com) (the "Interface"), maintained by the ZRO Association (dba the "ZRO Foundation") along with its various subsidiaries and affiliated entities globally ("LayerZero", "we", "our", or "us"). The Interface is web-based application enabling users to submit, track, and review slashing proposals within the cryptoeconomic Decentralized Verification Network ("DVN") framework. This Interface provides a mechanism to hold the EigenZero DVN accountable through an economic dispute resolution process involving the submission of evidence and a bonded claim (each, a "Slashing Claim"). The Interface provides (i) tools for compiling and submitting evidence related to message misdelivery or misconduct, (ii) a mechanism for bonding a 10 wETH deposit to initiate a Slashing Claim (facilitated through the connection of self-custody wallets for secure, non-custodial interactions), and (iii) a tracking system for Slashing Claim statuses, including approvals, rejections, and bond outcomes (the "Slashing Dashboard"). The Interface does not itself execute slashing or hold bonded assets. It acts solely as an interface to streamline Slashing Claim intake and interaction with the underlying protocol and review bodies (e.g., the Security Council).
By accessing or using this Interface, you agree to be bound by these Terms of Use (the "Terms") and our Privacy Policy which apply to the Interface and any related content, tools, software, documentation, features, and functionality, and any updated or new features thereof, offered by LayerZero on or through the Interface. If you do not agree to these Terms, you are not authorized to access or use the Interface and should not use the Interface. Please read these Terms carefully, as they include important information about your legal rights. You are solely responsible for determining whether your access to and use of the Interface complies with the Terms as well as any applicable laws and regulations in your jurisdiction.
For purposes of these Terms, "you" and "your" means you as the user of the Interface. If you access or use the Interface on behalf of a company or other entity then "you" includes both you in an individual capacity and that entity, and you represent and warrant that: (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms; and (b) you agree to these Terms on the entity's behalf, as well as on your individual behalf.

2. Modification of these Terms
LayerZero reserves the right, in its sole discretion, to modify these Terms from time to time. If any modifications are made, you will be notified by an update to the "Last Updated" date at the top of these Terms. All modifications will be effective when they are posted, or such later date as may be specified in the updated Terms, and your continued access or use of the Interface after any modifications have become effective will serve as confirmation of your acceptance of those modifications. If you do not agree with any modifications to these Terms, you must immediately stop accessing or using the Interface.
3. Eligibility and Permitted Use
To access or use the Interface, you must be able to form a legally binding contract with us. Accordingly, you represent that you are at least 18 years old or the age of majority in your jurisdiction and have the full right, power, and authority to enter into and comply with the terms and conditions of these Terms on behalf of yourself and any company or legal entity for which you may access or use the Interface.
You acknowledge and agree that you are solely responsible for complying with all applicable laws of the jurisdiction you are a resident of, or located or accessing the Interface from, and you represent that your access and use of the Interface will fully comply with all applicable laws and regulations. By using the Interface you represent and warrant that you meet these requirements, will not use the Interface for any illegal activity or to engage in the "Prohibited Activities" as set forth below, and will not access or use the Interface to conduct, promote, or otherwise facilitate any illegal activity. You further represent and warrant that you are not, will not, and will not attempt to access or use the Interface via a virtual private network or any other similar means intended to circumvent the restrictions set forth herein.
Subject to your strict compliance with these Terms, LayerZero grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Interface solely for your personal, non-commercial use, in each case in accordance with these Terms. If any software, content, or other materials owned or controlled by us are distributed or made available to you as part of your use of the Interface, we hereby grant you a personal, non-assignable, non-sublicensable, non-transferrable, and non-exclusive license to download, access, and/or display such software, content, and/or materials provided to you as part of the Interface, in each case for the sole purpose of enabling you to use the Interface as permitted by these Terms. These licenses are provided solely to enable you to use and enjoy the benefit of the Interface as intended by LayerZero and as permitted by these Terms. These licenses will terminate immediately if you breach any provision of these Terms or upon any termination or suspension of your access to the Interface. No other rights, interests, or licenses are granted to you with respect to the Interface, whether by implication, estoppel, or otherwise.
You agree to properly attribute any data or content retrieved via the Interface to LayerZero, and agree to abide by any licenses, usage guidelines, or technical documentation provided on, or referenced via, the Interface from time to time. Your attribution obligations shall include, but are not limited to: (i) crediting LayerZero and the Interface as the source of the data or content in any application, product, service, publication, or display that incorporates, visualizes, or redistributes such data or content; (ii) including any mandatory attribution statements, watermarks, logos, or links as specified from time to time; and (iii) preserving data and content integrity and refraining from modifying, omitting, or misrepresenting any portion of the data or content in any way, including, but not limited to, by presenting the data or content in a way that may be misleading or falsely suggest sponsorship, endorsement, or association with LayerZero. Failure to comply with attribution requirements may result in suspension or termination of access to the Interface, and may constitute a violation of applicable intellectual property laws or licensing terms.
You further agree to comply fully with any authentication, API key management, and rate limiting requirements as established by LayerZero from time to time. LayerZero reserves the right to monitor the Interface usage and enforce any requirements, restrictions, and/or limits through throttling, suspension, or revocation of access where misuse, abuse, or violations are detected. Violations of this section may also result in legal action, especially if such actions compromise the security, integrity, or availability of the Interface.
Your access and use of the Interface may be interrupted from time to time for any or for no reason, including, without limitation, in the event of the malfunction of equipment, periodic updating, maintenance, or repair of the Interface or other actions that LayerZero, in its sole discretion, may elect to take. WITHOUT PREJUDICE TO ANY OTHER RIGHTS OF LAYERZERO UNDER THESE TERMS, LAYERZERO RESERVES THE RIGHT TO, AT ITS SOLE DISCRETION AND WITHOUT PRIOR NOTICE, SUSPEND, LIMIT, OR TERMINATE ACCESS TO OR USE OF THE INTERFACE AT ANY TIME, FOR ANY REASON OR NO REASON. YOU AGREE THAT LAYERZERO SHALL HAVE NO LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY INABILITY TO ACCESS OR USE THE INTERFACE, OR FOR ANY SUSPENSION OR TERMINATION OF ACCESS TO OR USE OF THE INTERFACE.
All rights not expressly granted to you under these Terms are reserved by LayerZero and its licensors.
You acknowledge and agree that you are solely responsible for complying with all applicable laws of the jurisdiction you are a resident of, or located or accessing the Interface from, and you represent that your access and use of the Interface will fully comply with all applicable laws and regulations. Submission Requirements
To submit a Slashing Claim through the Interface, you must provide the following information within three (3) calendar days (i.e., seventy-two (72) hours) of the alleged slashable event (the "Submission Requirements"):
Incomplete submissions will be rejected without review. You are solely responsible for the accuracy and completeness of submitted information. You further represent and warrant that you possess the full authority, permission, and legal right to disclose, share, and/or transmit such information, and that doing so does not violate any confidentiality obligation, intellectual property right, privacy law, contractual agreement, or regulatory restriction applicable to you or the entity you represent.
You further acknowledge and agree that by submitting a Slashing Claim through the Interface, you grant LayerZero, its affiliates, and the Security Council the right to use, process, store, and disclose all submitted information as necessary to facilitate the proper evaluation and resolution of your Slashing Claim, which includes, but is not limited to, the following uses:
- source hash of the misdelivered or misverified message;
- destination hash of the misdelivered or misverified message;
- a clear written summary of the incident, including a detailed explanation of what occurred; and
- your contact information (e.g., email address).
Incomplete submissions will be rejected without review. You are solely responsible for the accuracy and completeness of submitted information. You further represent and warrant that you possess the full authority, permission, and legal right to disclose, share, and/or transmit such information, and that doing so does not violate any confidentiality obligation, intellectual property right, privacy law, contractual agreement, or regulatory restriction applicable to you or the entity you represent.
You further acknowledge and agree that by submitting a Slashing Claim through the Interface, you grant LayerZero, its affiliates, and the Security Council the right to use, process, store, and disclose all submitted information as necessary to facilitate the proper evaluation and resolution of your Slashing Claim, which includes, but is not limited to, the following uses:
- Disclosure to Security Council: all relevant information may be disclosed to the Security Council or designated members thereof, who are tasked with reviewing and adjudicating the Slashing Claim to verify completeness and eligibility based on the "Slashing Rules" (as set forth below) and other eligibility criteria set forth in these Terms;
- Disclosure to Other Authorized Parties: in some cases, information may be shared with third-party technical auditors, network validators, or independent reviewers as deemed necessary to properly assess the claim, ensure procedural fairness, or address security concerns; and
- Retention and Recordkeeping: LayerZero may retain claim data for audit, compliance, and transparency purposes, and may use anonymized or aggregated data to improve the Interface or the slashing process more broadly.
5. Bonding and Economic Considerations
As a condition for submitting a Slashing Claim via the Interface, you are required to provide a bond of 10 wETH which serves as a form of economic stake throughout the evaluation period and ensures that only those Slashing Claims submitted in good faith and with sufficient evidence are brought forward. The 10 wETH bond must be posted at the time of claim submission through the Interface using a self-custody wallet (e.g., MetaMask, WalletConnect). Claims submitted without a bond will be automatically rejected and not processed.
The purpose of the bonding requirement is to (i) discourage frivolous, speculative, or malicious claims that burden the system and waste resources, (ii) align incentives by ensuring that claimants have a meaningful economic stake in the outcome of their submission, and (iii) enable the Security Council to focus on high-quality, evidence-backed reports that reflect legitimate concerns regarding malicious DVN behavior.
The outcome of the Security Council's deliberation on the Slashing Claim determines how the bonded wETH is treated:
You acknowledge and agree that submitting a Slashing Claim constitutes a financial risk and should exercise due diligence before proceeding. By participating in the slashing process, you accept full financial risk for loss of the 10 wETH bond. No guarantee is provided, and none shall be imputed, implied, or assumed, that any Slashing Claim will be approved. You represent and warrant that you will, prior to submitting any Slashing Claim, (i) carefully review the Slashing Rules and other eligibility requirements set forth in these Terms, and (ii) thoroughly vet all evidence you intend to submit.
LayerZero provides the Interface solely as a facilitative tool for the submission and tracking of Slashing Claims within the cryptoeconomic DVN framework. By using this Interface, you acknowledge and agree that all actions you take in connection with submitting a Slashing Claim, including bonding, data entry, and evidence compilation, are undertaken at your own risk. You acknowledge and agree that LayerZero does not offer compensation, reimbursement, indemnification, or any form of financial remedy for any bond that is lost, forfeited, or otherwise unrecoverable due to:
User error, such as incorrect data entry, misformatted evidence, submission of incomplete or corrupt documentation, or misconfiguration of connected wallets;
Misunderstanding or misinterpretation of the Slashing Rules, submission procedures, any technical prerequisites required for a claim to be deemed valid, or any other eligibility requirements set forth in these Terms;
Incorrect assumptions regarding what constitutes a slashable event under the current ruleset, including, but not limited to, mistaking chain-level anomalies, forks, consensus issues, or non-finalized messages as valid grounds for slashing; or
Wallet-related issues, including, without limitation, user-side security breaches, failed transactions, gas miscalculations, or incompatibility with the Interface.
LayerZero disclaims any and all liability for losses resulting from rejected, dismissed, or unreviewed claims, including, but not limited to, the total or partial forfeiture of bonded wETH. You are solely responsible for understanding the functional and economic implications of submitting a Slashing Claim and for acting with appropriate diligence and care.
You are strongly encouraged to carefully review the Slashing Rules, submission requirements, and bonding conditions before participating in the process. If you are uncertain about whether a specific event qualifies for slashing or if your claim meets the minimum criteria, we recommend seeking guidance from publicly available documentation or independent legal or technical advisors.
LayerZero does not take custodial control of user funds. All bonding transactions are executed directly by you via interaction between your self-custody wallet and the smart contracts deployed as part of the slashing infrastructure. These smart contracts are governed entirely by immutable on-chain logic and are not intermediated by LayerZero in any capacity. LayerZero does not have the ability to access, freeze, reverse, or recover any funds bonded through the Interface. All funds deposited are subject to the smart contract logic, which will autonomously handle refunds, forfeitures, or retention based on the outcome of the Slashing Claim. All Slashing Claims are adjudicated independently by the Security Council.
Refunds or forfeitures of bonded funds are programmatically enforced on-chain. LayerZero does not manually issue refunds, mediate financial disputes, or provide off-chain resolution of smart contract behavior. You represent and warrant that you understand and accept the autonomous and final nature of the autonomous slashing infrastructure.
The Interface does not operate as an escrow service, and LayerZero does not guarantee the safekeeping or return of any bonded funds. You must independently verify the legitimacy and accuracy of all wallet interactions and transaction details prior to submission. By participating, you expressly acknowledge and accept that all interactions with the Interface are non-custodial, and that you bear full responsibility for any resulting loss of funds associated with your actions.
It is your responsibility to ensure the wallet used for bonding is secure, properly connected, and compatible with the Interface.
Purpose of the Bond
The purpose of the bonding requirement is to (i) discourage frivolous, speculative, or malicious claims that burden the system and waste resources, (ii) align incentives by ensuring that claimants have a meaningful economic stake in the outcome of their submission, and (iii) enable the Security Council to focus on high-quality, evidence-backed reports that reflect legitimate concerns regarding malicious DVN behavior.
Treatment of Bond Based on Slashing Claim Outcome
The outcome of the Security Council's deliberation on the Slashing Claim determines how the bonded wETH is treated:
- Claim Approved (Valid and Slashable Event): If the Security Council determines that the submitted Slashing Claim meets all slashing criteria as set forth in these Terms, the slashing infrastructure will slash up to the value of the misdelivered message, which will be sent to a multisig wallet and redistributed back to the harmed user, and your 10 wETH bond is returned;
- Claim Rejected (Frivolous, Fraudulent, or Malicious Submission): If the Slashing Claim is determined to be invalid, misleading, lacking sufficient evidence, or otherwise submitted in bad faith, the bond will be forfeited in its entirety and no slashing will occur;
- Claim Rejected (Good Faith Error): If the Slashing Claim is rejected but was made in good faith, based on a reasonable belief that the event was slashable, and supported by substantial but ultimately insufficient evidence, the bond may be returned at the discretion of the Security Council.
- Claim Unreviewed (Security Council Non-Action): If the Security Council fails to review the Slashing Claim within a reasonable timeframe, as further determined in the "Role of the Security Council" section below, the bond will be returned to you and the Slashing Claim will be considered closed without further action or notice.
Financial Disclaimer
You acknowledge and agree that submitting a Slashing Claim constitutes a financial risk and should exercise due diligence before proceeding. By participating in the slashing process, you accept full financial risk for loss of the 10 wETH bond. No guarantee is provided, and none shall be imputed, implied, or assumed, that any Slashing Claim will be approved. You represent and warrant that you will, prior to submitting any Slashing Claim, (i) carefully review the Slashing Rules and other eligibility requirements set forth in these Terms, and (ii) thoroughly vet all evidence you intend to submit.

No Custodial Control
LayerZero does not take custodial control of user funds. 6. Slashing Rules and Limitations
The slashing mechanism within the cryptoeconomic DVN framework is designed to hold the EigenZero DVN accountable for malicious behavior that undermines its security functionality and economic trust. However, slashing is a severe and limited remedy, only applicable under strict conditions that balance protocol integrity with fairness and due process.
Each Slashing Claim submitted through the Interface will be reviewed by the Security Council in accordance with the following "Slashing Rules":
Submissions not in conformance with the above parameters will be rejected, and bonded wETH may be forfeited accordingly.
Each Slashing Claim submitted through the Interface will be reviewed by the Security Council in accordance with the following "Slashing Rules":
- Time Window: Any Slashing Claim must be submitted within three (3) calendar days (i.e., seventy-two (72) hours) of the alleged slashable event. Failure to submit within this time period will result in automatic rejection of the Slashing Claim, regardless of the merits of the underlying claim;
- Scope: Only message verifications performed by the EigenZero DVN that are demonstrably and materially incorrect, misleading, malicious, or fraudulent, and which materially deviate from correct DVN behaviour, are eligible for slashing under the criteria set forth in these Terms;
- Cap on Slashing: In all cases, the maximum amount that may be slashed is capped at the economic value of the misdelivered or misverified message. The Security Council may decide, at its sole discretion, to slash an amount less than the full economic value of the misdelivered or misverified message. In exercising such discretion, the Security Council may take into account any factor or reason, including, without limitation: (i) the severity and nature of the misdelivery or misverification; (ii) the presence or absence of malicious intent, negligence, or good faith; (iii) the historical behavior and reputation of the involved party; (iv) the remedial actions taken or cooperation provided post-incident; (v) any systemic or external causes contributing to the error; (vi) the potential or realized impact on other participants or the protocol as a whole; (vii) the proportionality of the slashing in relation to the fault; and (viii) any precedent or policy guidelines relevant to the situation;
- Slashable Events: Only a narrow subset of DVN verification failures qualify as slashable events. In order for an event to be eligible for submission as a Slashing Claim it must meet all of the following criteria:
- the event must involve a message verification action by the EigenZero DVN that is demonstrably and materially incorrect (the message attestation materially deviates from what actually occurred on the source chain), misleading (the EigenZero DVN signs a message that omits or misrepresents relevant transactional details), malicious, or fraudulent (the message verification shows intentional deviation from protocol rules or collusion to distort outcomes);
- the verified message must have actual economic consequences or impact; and
- the message in question has reached chain-level finality at the time of submission (e.g., 3 epochs on Ethereum);
- Submission Method: Slashing Claims must be submitted via the Interface. Any attempts to submit a claim directly through smart contract interactions or off-Interface submissions will not be accepted or reviewed; and
- Evidence Quality: All submissions must include the Submission Requirements set forth above. The submission must clearly articulate how the EigenZero DVN's behavior constitutes a slashable violation under the framework established in these Terms. Vague, speculative, or poorly evidenced submissions may be dismissed outright without notice or reason.
- Consensus Failures: Situations in which a blockchain network fails to achieve finality due to validator disagreement, delayed block production, or malfunctioning consensus mechanisms;
- Protocol Forks: Any occurrence where a blockchain undergoes a hard or soft fork, whether planned, contentious, or accidental, that results in divergent transaction histories or conflicting message deliveries across chains;
- Network Congestion or Instability: Events caused by high latency, propagation delays, chain reorgs, mempool anomalies, or other systemic issues affecting the timely and reliable transmission of messages;
- Layer 1 Protocol Vulnerabilities: Any exploit, bug, or unintended behavior in the base layer (L1) blockchain protocol that results in misordered, delayed, or duplicate transactions shall not be attributed to the EigenZero DVN or constitute grounds for slashing.
Submissions not in conformance with the above parameters will be rejected, and bonded wETH may be forfeited accordingly.
7. Role of the Security Council
The Security Council acts as the sole adjudicator of submitted Slashing Claims. Their responsibilities include (i) reviewing all Slashing Claims for compliance with the criteria set forth in these Terms, (ii) exercising discretionary judgment in making final decisions on Slashing Claim validity, and (iii) initiating slashing actions when warranted.

8. Proprietary Rights
The Interface, including, without limitation, its "look and feel" (e.g., text, graphics, images, logos), content, functionality, APIs, documentation, data, features, software, trademarks, service marks, copyrights, patents, and designs as well as any other proprietary content, information, and material (collectively, the "Interface IP"), are the exclusive property of LayerZero and its related entities and are protected under copyright, trademark, and other intellectual property laws. You agree that LayerZero, its related entities, and/or its licensors exclusively own all right, title, and interest in and to the Interface IP (including any and all intellectual property rights therein) and you agree not to take any action(s) inconsistent with such ownership interests. You shall not obtain any right, title, interest, or share in or to the Interface IP by virtue of these Terms or your access to or use of the Interface. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Interface. LayerZero reserves all rights in connection with the Interface and its content.
9. Additional Rights
LayerZero reserve the following rights: (a) with or without prior notice to you, to modify, substitute, eliminate, or add to the Interface; (b) to review, modify, filter, disable, delete, and remove the Interface, including any and all content and information associated with it; and (c) to cooperate with any law enforcement agency, court order, government investigation or order, or third party requesting and requiring, directing that we disclose information or content that you provide.
10. Prohibited Activities
You agree not to engage in, or attempt to engage in, or do any of the following categories of prohibited activities in connection with your access and/or use of the Interface, unless applicable laws or regulations prohibit these restrictions or you have our written permission to do so:
- copy, reproduce, alter, modify, adapt, translate, distribute, transmit, display, perform, duplicate, publish, license, sublicense, assign, create derivative works from, or offer for sale the Interface, including any information contained on or obtained from or through the Interface, as well as any underlying code, software, or other components that comprise the Interface, except (i) for temporary files that are automatically cached by your web browser for display purposes, (ii) for personal, non-commercial use of screenshots or screen recordings, provided such content includes proper attribution to the Interface and does not misrepresent the Interface, its contents, or LayerZero, or (iii) as otherwise expressly permitted in these Terms;
- decompile, disassemble, reverse engineer, attempt to reconstruct or derive the source code or structure of, or otherwise attempt to gain unauthorized access to any component of, the Interface;
- remove, alter, or obscure, any copyright, trademark, service mark, trade name, slogan, logo, image, or other proprietary notation displayed on or through the Interface;
- any activity that infringes on or violates any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under the law;
- use automation software (bots), hacks, modifications (mods) or any other unauthorized third-party software designed to access, use, or modify the Interface;
- access or use the Interface in any manner that could disable, overburden, damage, disrupt, degrade, or impair the Interface or its performance, or interfere with any other party's access to or use of the Interface, or use any device, software, or routine that causes the same;
- attempt to gain unauthorized access to, interfere with, damage, or disrupt the Interface, or the computer systems or networks connected to the Interface;
circumvent, remove, alter, deactivate, degrade, or thwart any technological measure or content protections of the Interface or any of the computer systems, wallets, accounts, protocols, or networks connected to the Interface; - use any robot, spider, crawlers, or other automatic device, process, software, or queries that intercepts, "mines," scrapes, or otherwise accesses the Interface to monitor, extract, copy, or collect information or data from or through the Interface, or engage in any manual process to do the same;
- introduce any viruses, trojan horses, worms, logic bombs, or other materials that are malicious or technologically harmful into our systems;
- any activity that seeks to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including (but not limited to) the deployment of viruses and denial of service attacks;
- impersonate any other person or entity using the Interface, including by falsely stating, implying, or otherwise misrepresenting your affiliation with any person or entity;
- any activity that seeks to defraud us or any other person or entity, including (but not limited to) providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another;

17. Non-Custodial and No Fiduciary Duties
The Interface is a non-custodial application. At no point does LayerZero or the Interface ever take possession, custody, or control of user assets. All transactions are initiated and completed directly by users through self-custody wallets that they control. By accessing and using the Interface, you acknowledge and agree that you are solely responsible for the management, custody, and security of your private cryptographic keys and wallet credentials. Loss or compromise of your private key(s) may result in permanent loss of access to your digital wallet and assets, and the Interface cannot retrieve or restore such access.
The Interface allows users to connect self-custody wallets. At no point does LayerZero or the Interface host, maintain, or manage such wallets. By accessing and using the Interface, you acknowledge and agree that: (i) any interaction with your self-custody wallet is solely between you and the third-party provider of that wallet; (ii) your use of any self-custody wallet is subject to the terms and conditions of the applicable third-party provider; (iii) neither LayerZero nor the Interface is responsible for any acts or omissions of the wallet provider, including, but not limited to, delays, errors, or losses related to wallet connectivity or signature approval mechanisms; and (iv) any actions you take through your wallet (e.g., approving transactions) are final and irreversible.
These Terms are not intended to, and do not, create or impose any fiduciary duties on us. To the maximum extent permitted by applicable law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or to any other party. Any such duties or liabilities that may otherwise exist at law or in equity are hereby fully disclaimed and waived.
You further agree that our only duties and obligations are those explicitly set forth in these Terms.
The Interface allows users to connect self-custody wallets. At no point does LayerZero or the Interface host, maintain, or manage such wallets. By accessing and using the Interface, you acknowledge and agree that: (i) any interaction with your self-custody wallet is solely between you and the third-party provider of that wallet; (ii) your use of any self-custody wallet is subject to the terms and conditions of the applicable third-party provider; (iii) neither LayerZero nor the Interface is responsible for any acts or omissions of the wallet provider, including, but not limited to, delays, errors, or losses related to wallet connectivity or signature approval mechanisms; and (iv) any actions you take through your wallet (e.g., approving transactions) are final and irreversible.
These Terms are not intended to, and do not, create or impose any fiduciary duties on us. To the maximum extent permitted by applicable law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or to any other party. Any such duties or liabilities that may otherwise exist at law or in equity are hereby fully disclaimed and waived.
You further agree that our only duties and obligations are those explicitly set forth in these Terms.
18. Assumption of Risk and Release of Claims
By accessing and using the Interface, you represent that you are financially and technically sophisticated enough to understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of blockchain technologies, cryptocurrencies, and other digital assets, storage mechanisms, and blockchain-based software systems to be able to assess and evaluate the risks and benefits of the Interface contemplated hereunder, and will bear the risks thereof, including loss of all amounts paid or stored, and the risk that the cryptocurrencies and other digital assets may have little or no value. You understand that blockchain-based transactions are irreversible.
You acknowledge that there are inherent risks associated with using or interacting with public blockchains and blockchain technology. There is no guarantee that such technology will be available or not subject to errors, hacking, or other security risks. Blockchain protocols may also be subject to sudden changes in operating rules, including forks, and it is your responsibility to make yourself aware of upcoming operating changes.
You acknowledge and agree that there are risks associated with purchasing and holding cryptocurrency. These include, but are not limited to, risk of losing access to cryptocurrency or digital assets due to slashing; loss of private key(s); custodial error or purchaser or user error; risk of mining, staking, or blockchain-related attacks; risk of hacking and security weaknesses; risk of unfavorable regulatory intervention in one or more jurisdictions; risk related to token taxation; risk of personal information disclosure; risk of uninsured losses; volatility risks; and unanticipated risks.
You further understand that the markets for digital assets are highly volatile due to factors including (but not limited to) adoption, speculation, technology, security, and regulation. You acknowledge and accept that the cost and speed of transacting with cryptographic and blockchain-based systems are variable and may increase dramatically at any time. You further acknowledge and accept the risk that your digital assets may lose some or all of their value and that you may suffer loss due to the fluctuation of prices of tokens.
You understand that anyone can create a token, including fake versions of existing tokens and tokens that falsely claim to represent projects, and acknowledge and accept the risk that you may mistakenly trade those or other tokens. You further acknowledge that we are not responsible for any of these variables or risks and cannot be held liable for any resulting losses that you experience while accessing or using the Interface. Accordingly, you understand and agree to assume full responsibility for all of the risks of accessing and using the Interface.
You further acknowledge and agree that your access and use of the Interface may be interrupted from time to time for any or for no reason, including, without limitation, in the event of the malfunction of equipment, periodic updating, maintenance or repair of the Interface or other actions that LayerZero, in its sole discretion, may elect to take. You agree that we shall have no liability to you arising from or related to any inability to access or use the Interface.
You expressly agree that you assume all risks in connection with your access and use of the Interface. You further expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your access or use of the Interface.
If you are a California resident, you waive the benefits and protections of California Civil Code § 1542, which provides: "[a] general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

19. Third-Party Beneficiaries
You and LayerZero acknowledge and agree that LayerZero's affiliates, subsidiaries, related companies, service providers, and its and their officers, directors, supervisors, consultants, advisors, agents, representatives, partners, employees, and licensors are third party beneficiaries of these Terms.
20. Indemnity
You agree to hold harmless, release, defend, and indemnify us, our affiliates, subsidiaries, related companies, service providers, and its and their officers, directors, employees, contractors, and agents from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees and costs) arising out of or in connection with: (a) your access and use, or misuse, of the Interface; (b) your violation of any term or condition of these Terms, the right of any third party, or any other applicable law, rule, or regulation; (c) your dishonesty, negligence, fraudulence, or willful misconduct; and (d) any other party's access and use, or misuse, of the Interface with your assistance or using any device or account that you own or control.
21. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAYERZERO, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR SUBSIDIARIES, BE LIABLE TO YOU FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE INTERFACE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LAYERZERO SHALL NOT BE LIABLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS TO OR USE OF THE INTERFACE OR THE INFORMATION CONTAINED THEREIN.
WITHOUT LIMITING THE FOREGOING, LAYERZERO ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY: (A) ERRORS, MISTAKES, INACCURACIES, OR OMISSIONS IN ANY CONTENT OR MATERIALS; (B) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM ANY ACCESS TO OR USE OF THE INTERFACE; (C) UNAUTHORIZED ACCESS TO OR USE OF ANY SECURE SERVER OR DATABASE UNDER OUR CONTROL, OR ANY DATA STORED THEREIN; (D) INTERRUPTION OR CESSATION OF ANY FUNCTION RELATED TO THE INTERFACE; (E) BUGS, VIRUSES, TROJAN HORSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED VIA THE INTERFACE; (F) ANY CONTENT MADE AVAILABLE THROUGH THE INTERFACE, OR ANY LOSS OR DAMAGE ARISING FROM ITS USE; OR (G) THE DEFAMATORY, OFFENSIVE, OR UNLAWFUL CONDUCT OF ANY THIRD PARTY.
IN NO EVENT SHALL LAYERZERO'S, OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR SUBSIDIARIES, TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS EXCEED THE AMOUNT YOU PAID TO US IN EXCHANGE FOR ACCESS TO AND USE OF THE INTERFACE, OR USD$50.00, WHICHEVER IS GREATER. THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LIABILITY.
CERTAIN JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. ACCORDINGLY, CERTAIN OF THE FOREGOING DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW. THIS LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL LAYERZERO'S, OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR SUBSIDIARIES, TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS EXCEED THE AMOUNT YOU PAID TO US IN EXCHANGE FOR ACCESS TO AND USE OF THE INTERFACE, OR USD$50.00, WHICHEVER IS GREATER. THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LIABILITY.
CERTAIN JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. 22. Dispute Resolution
- READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
- Informal Process First. You and LayerZero agree that in the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the access and use of the Interface (individually, a "Dispute", and collectively, the "Disputes") between you and LayerZero, you must contact us by sending an email to legal@layerzero.foundation. You and LayerZero agree to make a good faith sustained effort to resolve any Dispute before resorting to more formal means of resolution, including without limitation, any court action. Both you and LayerZero agree that this dispute resolution procedure is a condition precedent which must be satisfied before initiating any arbitration or court action against the other party. Nothing in this clause shall prevent a party from seeking interim or provisional relief where it is reasonably necessary to do so.
- Mandatory Arbitration of Disputes. If the foregoing informal dispute resolution process should fail to produce a satisfactory result within sixty (60) days of your email, or if any Dispute or portion thereof remains unresolved following such process, you and LayerZero each agree that such Dispute will be resolved by binding, individual arbitration pursuant to the following provisions of this "Dispute Resolution" clause, and not in a class, representative, or consolidated action or proceeding. You and LayerZero agree that British Virgin Islands law governs the interpretation and enforcement of these Terms. This arbitration provision shall survive termination of these Terms.
- Exceptions. As limited exceptions to the provisions of this "Dispute Resolution" clause: (i) you and LayerZero both may seek to resolve a Dispute in the Magistrate's Court of the British Virgin Islands, if it qualifies; and (ii) you and LayerZero each retain the right to seek injunctive or other equitable relief from a court to prevent (or enjoin) the infringement or misappropriation of intellectual property rights.
- Conducting Arbitration and Arbitration Rules. Any Disputes arising out of or relating to these Terms, including the formation, existence, validity, interpretation, performance, breach, or termination thereof, or any Dispute regarding non-contractual obligations arising out of or relating to them, shall be referred to and finally resolved by binding arbitration to be administered by the BVI International Arbitration Centre ("BVI IAC") in accordance with the BVI IAC Arbitration Rules (the "Arbitration Rules") in force as at the date of these Terms, which Arbitration Rules are deemed to be incorporated by reference into these Terms. The arbitration shall be conducted in the English language and the seat of arbitration shall be in Road Town, Tortola, British Virgin Islands. The arbitration shall be determined by a sole arbitrator to be appointed in accordance with the Arbitration Rules. The decision of the sole arbitrator shall be in writing and shall be final and binding upon both parties without any right of appeal, and judgment upon any award thus obtained may be entered in or enforced by any court having jurisdiction thereof. No action at law or in equity based upon any claim arising out of or in relation to these Terms shall be instituted in any court of any jurisdiction, except as specifically permitted herein. Each party irrevocably waives any right it may have to assert the doctrine of forum non conveniens, to object to the jurisdiction of the arbitral tribunal, or to challenge the enforcement of any resulting award on the basis of improper venue or lack of personal jurisdiction.
- Arbitration Costs. Responsibility for payment of all filing, administration, and arbitrator fees will be governed by the Arbitration Rules. You and LayerZero each agree that the prevailing party in arbitration will be entitled to an award of attorneys' fees and expenses to the extent provided under applicable law.
- Injunctive and Declaratory Relief. Except as provided in the "Exceptions" section above, the arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
- Class Action and Jury Trial Waiver. YOU AND LAYERZERO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. Further, if the parties' Dispute is resolved through arbitration, the arbitrator may not consolidate another person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void. You and LayerZero both agree to waive the right to demand a trial by jury.
- Severability. With the exception of any of the provisions in the immediately preceding paragraph of these Terms ("Class Action Waiver"), if an arbitrator or court of competent jurisdiction decides that any part of these Terms is invalid or unenforceable, the other parts of these Terms will still apply.
23. Injunctive Relief
You agree that a breach of these Terms will cause irreparable injury to LayerZero for which monetary damages would not be an adequate remedy and LayerZero shall be entitled to equitable relief in addition to any remedies it may have hereunder or at law without a bond, other security or proof of damages.
24. Force Majeure
LayerZero will not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any of our obligations under these Terms, when and to the extent such failure or delay is caused by or results from any events beyond our ability to control, including acts of God; flood, fire, earthquake, epidemics, pandemics, tsunami, explosion, war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, government order, law, or action, embargoes or blockades, strikes, labor stoppages or slowdowns or other industrial disturbances, shortage of adequate or suitable Internet connectivity, telecommunication breakdown or shortage of adequate power or electricity, cyberattacks, Protocol-level disruptions, chain-level failures, governance attacks, and other similar events beyond our control.
25. Miscellaneous
If any provision of these Terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms and the licenses granted hereunder may be assigned by LayerZero but may not be assigned by you without the prior express written consent of LayerZero. LayerZero's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of LayerZero. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. The section headings used herein are for reference only and shall not be read to have any legal effect.
26. Governing Law
You agree that the laws of the British Virgin Islands, without regard to principles of conflict of laws, govern these Terms and any Dispute between you and us. You further agree that the Interface shall be deemed to be based solely in the British Virgin Islands, and that although the Interface may be available in other jurisdictions, its availability does not give rise to general or specific personal jurisdiction in any forum outside the British Virgin Islands. You agree that the courts of the British Virgin Islands are the proper forum for any appeals of an arbitration award or for court proceedings in the event that the binding arbitration clause of these Terms is found to be unenforceable.
27. Entire Agreement
These Terms, and the Privacy Policy, constitute the entire agreement between you and us with respect to the subject matter hereof. These Terms supersedes any and all prior or contemporaneous written and oral agreements, communications and other understandings (if any) relating to the subject matter of the terms. The information provided on the Interface is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to use or access the Interface from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
